Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and WeaveHub Technologies LLC ("WeaveHub," "we," "us," or "our") governing your use of the DoseHalo mobile application, the website at dosehalo.com, and any related services (together, the "Service"). By downloading, installing, or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Please read carefully. These Terms contain a medical disclaimer (Section 4), a disclaimer of warranties (Section 10), a limitation of liability (Section 11), and a mandatory arbitration agreement with a class-action waiver (Section 13) that affect your legal rights. You may opt out of arbitration within 30 days as described in Section 13.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for adults managing medication for themselves or for someone in their care with that person's authorization. By using the Service you represent that you meet these requirements.

2. License and acceptable use

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the DoseHalo app on Apple-branded devices you own or control, as permitted by the Apple App Store Terms of Service. You agree not to:

copy, modify, distribute, sell, lease, or sublicense any part of the Service;
reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law;
use the Service to interfere with, damage, or gain unauthorized access to any device, network, or account, including a pillbox you do not own or are not authorized to control;
use the Service in any way that violates applicable law or the rights of others; or
circumvent any subscription, entitlement, or security feature of the Service.

3. Third-party hardware

DoseHalo is an independent application that communicates over Bluetooth with the CMI Health Memo Box Smart Pillbox (formerly the Tinylogics Memo Box) (the "Box"). We do not manufacture, sell, warrant, or support the Box. WeaveHub is not affiliated with, endorsed by, or sponsored by CMI Health, Tinylogics, or any hardware manufacturer. You are solely responsible for obtaining, maintaining, and operating your Box, including its battery, and for confirming that you own or are authorized to control any Box you connect to the Service. We make no promise that the Service will remain compatible with any particular Box firmware or revision.

4. Medical disclaimer

DoseHalo is a reminder and record-keeping tool. It is not a medical device, does not provide medical advice, and is not a substitute for professional medical care. The Service does not diagnose, treat, cure, or prevent any condition, and it does not dispense medication. Information the Service displays, including reminders, schedules, and "taken," "missed," or "unsure" dose statuses, is derived from data you enter and from signals reported by the Box, and it may be incomplete, delayed, or inaccurate.

You are solely responsible for your medication decisions. Always follow the directions of your physician, pharmacist, or other qualified healthcare provider, and never rely on the Service as your only means of remembering or verifying a dose. If you believe you have missed or double-taken a dose, contact your healthcare provider. If you are experiencing a medical emergency, call your local emergency number immediately.

Reminders depend on factors outside our control, including Bluetooth range, device battery, operating-system notification settings, Do Not Disturb and Focus modes, network availability, and Box condition. Reminders and alerts may be late or may not be delivered at all. Caregiver alerts, where available, are provided as a convenience only and do not create any duty of care or monitoring obligation on our part.

5. Accounts and identity

Some features use Sign in with Apple or another identity provider. You are responsible for maintaining the security of your device and any credentials, and for all activity that occurs under them. Notify us at support@dosehalo.com if you believe your access has been compromised.

6. Subscriptions and payments

Certain features ("DoseHalo Pro") require a paid subscription. Subscriptions are sold through the Apple App Store and are governed by Apple's terms, including its rules on billing, renewal, cancellation, and refunds. Subscriptions renew automatically at the then-current price for the same term unless you cancel at least 24 hours before the end of the current period through your Apple ID settings. We do not process payments directly and cannot issue refunds; refund requests must be made to Apple. Any free trial converts to a paid subscription unless cancelled before the trial ends. Prices may change with notice, and changes take effect at your next renewal.

7. Your content and data

You retain all rights to the information you enter into the Service. Medication names and your full dose history are stored on your device and in your personal iCloud account and are not transmitted to us, as described in the Privacy Policy. You are responsible for backing up your data. We are not responsible for loss of data stored on your device or in iCloud.

8. Intellectual property

The Service, including its software, design, text, graphics, logos, and the DoseHalo name and mark, is owned by WeaveHub or its licensors and is protected by copyright, trademark, and other laws. Except for the limited license in Section 2, no rights are granted to you. "Memo Box" and other third-party marks are the property of their respective owners and are used only to identify compatibility.

9. Third-party services

The Service relies on third-party services such as Apple (App Store, iCloud, push notifications) and subscription infrastructure providers. We are not responsible for the availability, accuracy, or conduct of any third-party service, and your use of those services is governed by their own terms.

10. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WEAVEHUB EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT REMINDERS OR ALERTS WILL BE DELIVERED; THAT DOSE STATUSES WILL BE ACCURATE; OR THAT THE SERVICE WILL BE COMPATIBLE WITH ANY BOX OR DEVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WEAVEHUB OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, OR FOR ANY PERSONAL INJURY, ILLNESS, OR DEATH ARISING FROM A MISSED, LATE, DUPLICATED, OR INCORRECTLY RECORDED DOSE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50). THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND US AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless WeaveHub and its members, managers, officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) your medication or health decisions, (d) your connection to or control of any Box, or (e) any dispute between you and a person for whom you use the Service as a caregiver.

13. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully. It requires you to arbitrate disputes with WeaveHub and limits the manner in which you can seek relief.

13.1 Informal resolution first

Before starting arbitration, you agree to try to resolve the dispute informally by emailing support@dosehalo.com with your name, a description of the dispute, and the relief you seek. If we cannot resolve it within 60 days of your notice, either party may begin arbitration.

13.2 Agreement to arbitrate

You and WeaveHub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its formation, validity, breach, termination, or interpretation, and whether based in contract, tort, statute, fraud, or any other legal theory (a "Dispute"), will be resolved exclusively by final and binding arbitration, rather than in court, except as set out in Section 13.6. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section.

13.3 Arbitration procedure and seat

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA rules are available at www.adr.org. There will be one arbitrator. The seat and place of arbitration will be New York County, New York, USA. Where the claim is for US$25,000 or less, either party may elect that the arbitration be conducted by written submissions, by telephone, or by videoconference; otherwise any in-person hearing will take place in New York County. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Payment of filing, administration, and arbitrator fees will be governed by the AAA rules.

13.4 Class-action and jury-trial waiver

YOU AND WEAVEHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will be severed and proceed in court, and the remaining claims will proceed in arbitration. TO THE EXTENT PERMITTED BY LAW, YOU AND WEAVEHUB EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

13.5 Thirty-day opt-out

You may opt out of this arbitration agreement by emailing support@dosehalo.com, or by mailing us at the address in Section 19, with the subject line "Arbitration Opt-Out," your name, and the email associated with your account, within 30 days after you first accept these Terms. Opting out does not affect any other provision of these Terms.

13.6 Exceptions

Either party may (a) bring an individual claim in small-claims court in New York County, New York, or in the county where you reside, if the claim qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

13.7 Changes to this section

If we change this Section 13 after you accept these Terms, you may reject the change by emailing us within 30 days of the change, in which case the version you previously accepted will continue to govern.

14. Governing law and venue

These Terms and any Dispute are governed by the laws of the State of New York and applicable United States federal law, without regard to conflict-of-laws principles. For any matter not subject to arbitration, you and WeaveHub consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and waive any objection to that venue.

15. Termination

You may stop using the Service at any time by deleting the app. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Service. Sections 3, 4, 7 through 14, and 16 through 18 survive termination.

16. Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms. If we make material changes we will revise the date above and, where practical, notify you in the app. Your continued use of the Service after a change becomes effective means you accept the revised Terms.

17. Apple-specific terms

These Terms are between you and WeaveHub only, not Apple Inc. ("Apple"). Apple has no obligation to furnish maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app; in the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price to you. Apple is not responsible for addressing any claims by you or any third party relating to the app, including product-liability claims, claims that the app fails to conform to legal or regulatory requirements, or consumer-protection claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

18. General

These Terms, together with the Privacy Policy, are the entire agreement between you and WeaveHub regarding the Service and supersede any prior agreements. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them without restriction. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
